Terms & Conditions
Commercial terms of engagement, autonomous multi-agent operational boundaries, strict limitation of liability, and mutual intellectual property covenants.
Important Autonomous AI Operating Notice: LumiLore designs, develops, and orchestrates intelligent multi-agent systems and large language model (LLM) pipelines. You acknowledge that AI technologies generate probabilistic outputs. While we engineer enterprise guardrails and automated verification layers, client acknowledges that automated agents do not provide licensed professional or legal counsel, and client maintains affirmative human-in-the-loop responsibility for critical business decisions.
1. Acceptance of Terms & Scope of Services
These Terms & Conditions ("Terms", "Agreement") constitute a legally binding contract between you or the commercial organization you represent ("Client", "User", "you") and LumiLore Technologies ("LumiLore", "we", "us", or "our").
By accessing our website (lumilore.ca), engaging our engineering services, scheduling technical consultations, utilizing our online software tools (including the Instant AI Audit Engine and LumiBot Solutions Terminal), or deploying LumiLore-engineered autonomous agents, you unconditionally agree to comply with and be bound by these Terms.
2. Nature of Agentic AI & Cloud Architecture Services
LumiLore delivers specialized high-end technology solutions across four primary pillars:
- Autonomous Calendar & Booking Agents: Automated client qualification and real-time scheduling pipelines integrated with AWS serverless compute and Google Calendar.
- 24/7 AI Voice Dispatch & Inbound Reception: Telephony agent architectures engineered to transcribe, qualify, and dispatch emergency client requests for mechanical trades and corporate enterprises.
- Generative Engine Optimization (GEO): Multi-LLM brand entity triangulation, schema graph architecture, and algorithmic search visibility across Perplexity, ChatGPT, and Claude.
- High-Performance Cloud Architecture: Event-driven serverless re-engineering (AWS Lambda, DynamoDB, Amazon API Gateway) to eliminate idle cloud waste and optimize latency.
3. Autonomous AI Operational Boundaries & Disclaimers
Client acknowledges and agrees to the following fundamental operational characteristics of autonomous software:
- Probabilistic Non-Deterministic Outputs: Large language models and agentic decision graphs produce probabilistic results. LumiLore implements deterministic validation routines; however, we do not warrant that AI-generated responses will be 100% error-free or uninterrupted under all circumstances.
- Human-in-the-Loop Responsibility: For high-stakes workflowsโsuch as financial transactions, legal commitments, medical determinations, or critical trade safety decisionsโthe Client agrees to maintain appropriate human review mechanisms.
- Client Configuration Approval: Before deploying autonomous client-facing agents (voice or text), Client reviews and approves the system prompt guidelines, knowledge base documents, and escalation thresholds. LumiLore is not liable for agent behaviors that adhere to Client-specified operating criteria.
4. Upstream Cloud & Foundation Model Vendor Boundaries
LumiLore solutions leverage foundational cloud infrastructure and frontier AI models provided by third-party industry leaders, including Amazon Web Services (AWS), Anthropic, OpenAI, and Google Cloud. Client explicitly acknowledges:
- LumiLore does not control upstream third-party data center availability, network routing, or foundation model API latency;
- Temporary degradation or outages originating from upstream third-party infrastructure do not constitute a breach of contract by LumiLore;
- Upstream changes to model weights, token pricing, or service policies by foundation model providers may necessitate architectural adjustments.
5. Intellectual Property Rights & Client Data Sovereignty
We maintain unambiguous separation between Client proprietary assets and LumiLore engineering frameworks:
- Client Materials & Data Sovereignty: Client retains 100% sole and exclusive ownership of all proprietary business data, trade secrets, customer intake records, internal documentation, and bespoke workflow content provided to LumiLore ("Client Materials").
- Zero Model-Training Guarantee: LumiLore covenants that Client Materials and private prompts will never be submitted to public model providers for public model training, reinforcement learning, or commercial redistribution.
- LumiLore Frameworks & Core IP: LumiLore retains sole ownership of its pre-existing intellectual property, proprietary agent frameworks, orchestration engines, prompt libraries, and reusable serverless architecture templates developed independently by LumiLore.
6. Acceptable Use Policy
When interacting with LumiLore infrastructure or deploying autonomous agents built by LumiLore, Client agrees not to:
- Deploy agents for fraudulent, defamatory, harassing, deceptive, or unlawful commercial communications;
- Attempt to reverse-engineer, decompile, or extract the underlying model weights, system prompts, or internal tool schemas;
- Subject LumiLore public endpoints (
/api/intake,/api/chat,/api/audit) to unauthorized stress-testing, automated scraping, or denial-of-service floods; - Transmit malicious code, viruses, or prompt-injection payloads designed to compromise agent execution environments.
7. Retainers, Invoicing & Commercial Terms
Commercial engagements are governed by the specific Statement of Work (SOW), proposal, or product tier selected:
- Payment Terms: Invoices are billed in Canadian Dollars (CAD) or US Dollars (USD) and are due upon receipt or according to agreed milestone schedules. Inquiries regarding billing should be directed to payments@lumilore.ca.
- Monthly Retainers: Retainer-based services (such as ongoing GEO maintenance or 24/7 AI Voice Dispatch monitoring) recur monthly. Termination requires thirty (30) days written notice prior to the start of the subsequent billing cycle.
- Taxes: All quoted fees are exclusive of applicable Canadian federal and provincial sales taxes (GST/HST), which will be added where mandated by statutory law.
8. Strict Limitation of Liability
CONSEQUENTIAL DAMAGES WAIVER & MONETARY LIABILITY CEILING:
To the maximum extent permitted by applicable Canadian law, in no event shall LumiLore Technologies, its officers, directors, employees, or contractors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damagesโincluding loss of profits, loss of business revenue, business interruption, loss of reputation, or loss of operational dataโarising out of or in connection with our services, software, or autonomous agents, regardless of whether LumiLore was advised of the possibility of such damages.
AGGREGATE CAP: In no event shall LumiLore's cumulative aggregate liability arising under or relating to this Agreement exceed the total fees actually paid by the Client to LumiLore in the three (3) months immediately preceding the event giving rise to liability.
9. Indemnification
Client agrees to defend, indemnify, and hold harmless LumiLore Technologies, its affiliates, and their respective officers, employees, and agents from and against any third-party claims, liabilities, damages, losses, and reasonable legal expenses arising out of: (a) Client's material breach of this Agreement; (b) unlawful use of deployed AI agents; or (c) infringement of third-party intellectual property or privacy rights resulting from Client-supplied materials.
10. Governing Law & Dispute Resolution
This Agreement and any dispute, controversy, or claim arising out of or related to our services shall be governed exclusively by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.
The parties irrevocably submit to the exclusive jurisdiction of the provincial and federal courts located in the City of Toronto, Ontario, Canada, for the resolution of any dispute arising under these Terms.
11. Severability & Entire Agreement
If any provision of these Terms is found to be invalid, illegal, or unenforceable by an arbitrator or court of competent jurisdiction, such invalidity shall not affect the enforceability of any other provision, which shall remain in full force and effect. These Terms, together with any applicable Statement of Work or Privacy Policy, constitute the complete and exclusive agreement between the parties.
